Terms of Service

Last updated 6 November 2026

These terms are the agreement between CairnRock Solutions, LLC (“Relay”, “we”, “us”) and the business that uses Relay (“the store”, “you”). They cover what Relay does, what it costs, what stays yours, and what each of us promises.

1. This agreement

By creating a Relay account, starting a trial or subscribing, you agree to these terms, to the Data Processing Addendum (which is part of them), and to the way the Privacy Policy describes Relay handling data. If you accept for a business, you confirm you are allowed to bind it.

Relay is sold only to businesses. It is for boutique owners and the people who work with them, not for personal or household use. Everyone who uses Relay must be 18 or older.

2. What Relay does

Relay is a web service and iPhone app for independent boutiques. It reads your vendor orders, tracks what is arriving, keeps a count of your stock, files each style with its picture, sends orders and styles to your POS or web store when you tell it to, and shows what is selling and what to buy. It reads from the systems you connect, and writes to them only as section 11 says.

3. Accounts and your team

4. Free preview and free trial

Create an account and choose Core or Professional. Then either start straight away, by adding a payment method at checkout, or arrange a guided demo first. Either way you get a 14-day free trial of the selected plan, once per store. If you start straight away, the trial begins when your checkout completes and nothing is charged until it ends; Checkout shows the charge date. If you choose a demo, the trial starts when Relay marks your demo complete, not when you book or create an account. No payment is taken without your subscription checkout. When free access ends, an owner must subscribe to keep using the paid tools. Existing pilot stores and stores with separate written terms keep those terms.

Welcome month. New stores can subscribe to Relay Core for $99 for the first paid month, then $299/month, or Relay Professional for $199 for the first paid month, then $499/month. This offer is available once per store. If you subscribe during your free trial, the first payment waits until the trial ends; Checkout shows the charge date. The regular monthly price applies automatically after the first paid month.

30-day money-back guarantee. Request a full refund within 30 days after your first payment through Plan & billing or by emailing support@relay.boutique. We refund that first payment and cancel your subscription. The guarantee clock starts with the first payment, not the demo or a zero-dollar trial invoice.

5. Subscription, renewal and cancelling

6. Taxes

Prices do not include taxes. Where the law requires us to charge sales tax, VAT or a similar tax, we add it to your bill.

7. If a payment fails

If a charge fails, we try it again and tell the store's owners. If it is still unpaid after that, we may suspend the store: Relay locks until the bill is paid, and nothing is deleted while it is suspended. A store left unpaid may be closed under section 19.

8. Your data

Your store's records belong to you: the orders, stock, sales, customer records, pictures and words you bring or that Relay reads from your systems for you. You give Relay a licence to store, copy, read, process and display them only to provide Relay to you, support you, keep it secure and meet the law, as the Privacy Policy and the DPA describe. That licence ends when your data is deleted.

You confirm that you have the right to give Relay that data, including permission from anyone pictured in a photo you use, and that you will not put anything unlawful into Relay. For personal data about your shoppers, staff and vendors, you are the controller and Relay is your service provider, as the DPA says.

Relay does not sell your data, does not use it for advertising, and does not let AI providers train their models on it.

9. Relay learns from your store

Relay gets better at its job for your store by learning from your store's own records: which forecast suits your sales, the names, sizes and colours you use for each vendor, which category a vendor's style belongs in, how you price, and the corrections you make when you review an order. What Relay learns this way is kept with your store, used only for your store, and deleted with it.

Relay also adds up counts across stores to give its sell-through estimates a better starting point: how many pieces of a category, a size or a brand sold in season, added together. These totals are de-identified. They contain no prices, no shopper or other personal data and no store's name, and Relay uses a total only when at least five stores contribute to it. No store can see another store's records.

You agree that Relay may use your store's records, including data that comes from Shopify and your other connected systems, in both of these ways. To keep your store out of the totals across stores, write to privacy@relay.boutique. Relay does not use your store's records to train AI models.

10. AI and Relay's suggestions

Relay uses AI models to read documents and photos, suggest categories, sizes, colours and names, draft descriptions, make pictures and estimate what will sell. These results can be wrong. Check them before you rely on them: you review and approve an order, a style, a stock change, a description or a picture before Relay sends it to your POS, your web store, a vendor or a customer, and you are responsible for what you approve. Forecasts and buying advice are estimates, not promises of sales or profit; buying and pricing decisions are yours.

11. The systems you connect

Your POS, web store (such as Shopify), accounting system and mailbox are your choice and are provided by other companies under their own terms. When you connect one, you confirm you are allowed to give Relay that access and that doing so does not break your agreement with that company. We are not responsible for those systems, for changes their makers make, or for what they do with data.

Relay writes into a connected system only after someone in your store takes an action that says so: approving an order for it, sending a style, or switching stock updates on for that connection. Relay never writes to your accounting system and never sends, moves or deletes email. You can disconnect any system at any time from Connections.

12. Acceptable use

Do not use Relay to break the law or anyone's rights; to reach a store or account that is not yours; to probe, overload or get around Relay's security or limits; to copy, resell or rebuild Relay; or to send it anything harmful such as malware. We may suspend an account that does, to protect Relay and other stores, and we will tell you why unless the law or safety prevents it.

13. Confidentiality

Each of us will keep the other's non-public business information confidential, use it only for this agreement, and share it only with people who need it and are bound to keep it confidential. This does not cover information that is public, that the other side already had, or that the law requires to be disclosed (with notice where allowed). Your store's records are your confidential information.

14. Availability and support

We work to keep Relay available and to fix problems quickly, but we do not promise uninterrupted or error-free service and there is no service-level agreement. We may pause Relay for maintenance or to protect it, with notice when we can. Support is by email at support@relay.boutique; see Support.

15. Changes to Relay

Relay will change as we build it. If we remove a feature you pay for, we tell you first, and if it materially reduces what you get, you may cancel and we refund the unused part of the month.

16. Disclaimers

Apart from what these terms say, Relay is provided “as is” and “as available”. To the extent the law allows, we make no other promises about it, including that it is fit for a particular purpose, accurate, or free of errors, and we are not responsible for decisions made on its suggestions.

17. Limitation of liability

To the extent the law allows: neither of us is liable for indirect, special or consequential loss, or for lost profit, revenue, goodwill or data beyond what can be restored from backups; and each side's total liability for everything arising from this agreement is limited to the fees you paid Relay in the 12 months before the event that gave rise to the claim. These limits do not apply to your payment obligations, to your obligations under section 18, or to liability the law does not allow to be limited.

18. Indemnity

You will defend and compensate Relay against claims by others arising from your data, your use of Relay against these terms, or your connecting a system you were not allowed to connect. We will tell you promptly about such a claim and let you control its defence, and we may join with our own lawyer at our own cost.

19. Ending the agreement

20. Changes to these terms

We may update these terms. For a change that matters, we email the store's owners or tell them in Relay at least 30 days before it takes effect. If you do not agree, cancel before that date; continuing to use Relay after it means you accept the new terms. The date at the top shows the latest version.

21. Law and disputes

These terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-law rules. Any dispute will be heard only in the state or federal courts in Onondaga County, New York, and each of us agrees to their jurisdiction. Before going to court, we will each try in good faith to settle the dispute by talking for at least 30 days.

22. The iPhone app

If you use the Relay app from Apple's App Store: these terms are between you and Relay, not Apple; Apple is not responsible for the app, its content, its maintenance or support, or any claim about it (including product liability, legal compliance and intellectual property claims); if the app fails to conform to a warranty that applies, you may tell Apple and Apple may refund the price you paid for the app, if any, and has no other warranty obligation; you confirm you are not in a country under a US government embargo or on a US list of prohibited or restricted parties; and Apple and its subsidiaries may enforce these terms against you as third-party beneficiaries. Your use of the app must also follow the App Store's usage rules.

23. General

These terms, the DPA and any written order form we sign with you are the whole agreement about Relay. Neither of us may transfer this agreement without the other's consent, except to a business that takes over all or most of the transferring side's business. Neither of us is liable for delays caused by events beyond reasonable control. If part of these terms cannot be enforced, the rest still applies. Not enforcing a term is not a waiver. We send notices to the owner's email address; you send them to support@relay.boutique.
